Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Solidified AI, LLC (“Solidified AI,” “we,” “us,” or “our”) governing your access to and use of solidifiedai.com, our AI communication products, and related services (collectively, the “Services”). By accessing or using the Services, purchasing an offer, or submitting a form, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of a business, you represent that you are authorized to bind that business to these Terms.

2. The Services

Solidified AI designs, builds, and operates AI-assisted communication systems — including voice agents, messaging, and automations — and related consulting and audit services. Specific features, scope, and deliverables may be described on our website or in a separate order or statement of work.

3. Offers, fees & subscriptions

• Promotional offers. Promotional pricing (such as a $1 first month) is available on the terms stated at the point of sale, to eligible customers, and for a limited time. Unless stated otherwise, after any promotional period the plan renews at the then-current standard rate (for example, $499/month).
• Billing & auto-renewal. Paid plans are billed in advance on a recurring basis through our payment processor, Stripe, using the payment method you provide. Subscriptions automatically renew each billing cycle until cancelled.
• Usage & overage. Where a plan includes usage limits, additional usage may be billed at the rates disclosed to you.
• Cancellation. You may cancel at any time; cancellation takes effect at the end of the current billing period. Unless required by law or expressly stated, fees already paid are non-refundable.
• Taxes. Fees are exclusive of taxes, which you are responsible for where applicable.

You authorize us and our payment processor to charge your payment method for all applicable fees. If a charge fails, we may suspend the Services until payment is resolved.

4. Giveaways & sweepstakes

Any giveaway or sweepstakes we run is void where prohibited and governed by its official rules, which control in the event of a conflict with these Terms. No purchase is necessary to enter or win. A purchase does not improve your chances of winning.

5. Acceptable use

You agree not to:

• Use the Services in violation of any law, including telemarketing, calling/texting, privacy, and consumer-protection laws (such as the TCPA);
• Send unlawful, harassing, deceptive, or unsolicited communications through systems we build or operate for you;
• Infringe others' intellectual property or privacy rights;
• Interfere with, disrupt, or attempt to gain unauthorized access to the Services; or
• Use the Services to build a competing product or reverse engineer our systems.

You are responsible for obtaining all consents legally required to record calls or to contact your customers by call or text through systems we provide, and for the content and use of those communications.

6. Your content & data

You retain ownership of the content, materials, and data you provide (“Your Content”). You grant us a license to use Your Content as needed to provide, maintain, and improve the Services. You represent that you have the rights necessary to provide Your Content and that it does not violate any law or third-party right.

7. Intellectual property

The Services, including our software, models, configurations, designs, and content, are owned by Solidified AI or our licensors and are protected by intellectual-property laws. Except for the rights expressly granted to you, we reserve all rights.

8. Third-party services

The Services rely on third-party providers (for example, Stripe for payments, HighLevel / LeadConnector for forms and CRM, and telephony and infrastructure providers). Your use of those services may be subject to their terms, and we are not responsible for third-party services.

9. AI disclaimer

Our Services use artificial intelligence. AI systems can produce inaccurate, incomplete, or unexpected outputs and are not a substitute for professional judgment or advice. You are responsible for reviewing outputs and for how the Services are used in your business, including maintaining appropriate human oversight and escalation.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLIDIFIED AI AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

12. Indemnification

You agree to indemnify and hold harmless Solidified AI and its owners, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, Your Content, your communications with customers, or your violation of these Terms or applicable law.

13. Term & termination

We may suspend or terminate your access to the Services at any time if you violate these Terms or to protect the Services. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive.

14. Governing law & disputes

These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws rules. Before filing a claim, you agree to first contact us at admin@solidifiedai.com to attempt to resolve the dispute informally. Any dispute not resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Summit County, Utah, and you consent to venue and personal jurisdiction there.

15. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new “Last updated” date. Your continued use of the Services after changes take effect constitutes acceptance.
